You hereby agree to the following with regard to your use of the Website, Service or Software: In order to access some features of the Website, you will have to create an account.

Account terms and conditions

• You must provide accurate, true and current information as prompted during the account registration process and shall maintain and update such information to keep it accurate, true and current at all times.
• You shall be solely responsible for all activity associated with your account, including, without limitation any posted data, text, links, video clips, photos, other media content and comments regardless of whether or not you are the person posting such content or comments (collectively, the "User Content").
• You are responsible for maintaining the security of your account and password. You shall not share your password with any other person or post it on this or any other website. Clipsan cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. You may be liable for the losses incurred by Clipsan or others due to unauthorized use.
• One person or legal entity may not maintain more than one free account.

General conditions

• You shall be solely responsible for keeping a duplicate copy of all User Content that you post to the Website and we do not accept any responsibility or liability for the loss of your User Content.
• You represent and warrant that all User Content that you post to the Website shall be your wholly original material (except for material that you are using with the permission of its owner), and will not infringe any copyright, trademark or other rights of any third party including without limitation any rights of privacy or publicity.
• You shall not use the Clipsan Service for any illegal or unauthorized purposes.
• You shall not attempt to hack, destabilize or adapt the Clipsan Website or Software or its source code, or alter another website so as to falsely imply that it is associated with Clipsan.
• You shall not transmit worms, viruses or any code of a destructive nature to Clipsan or its users.
• You are solely responsible for obtaining and maintaining all equipment and services needed for access to and use of our Website, Services and Software and for paying all charges related thereto.
• You shall not post User Content deemed hateful, threatening, obscene, abusive, unlawful, harassing, racially or ethnically offensive, libellous or defamatory, or any content that encourages conduct that would be considered a criminal offence or bring forth civil liability, violate any law, or is otherwise inappropriate. You must not, in the use of the Service, violate any laws in your jurisdiction.
• You shall not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Clipsan all of the licence rights granted herein.
• You understand that Clipsan uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
• Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Clipsan customer, employee, member, or officer will result in immediate account termination.
• You retain your ownership rights to the User Content you upload to the Clipsan Website. Clipsan does not endorse any User Content or any opinion, recommendation, or advice expressed therein, and Clipsan expressly disclaims any and all liability in connection with User Content.
• You acknowledge that Clipsan may establish general practices and limits concerning use of the Service and may modify such practices and limits from time to time. Clipsan reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, all or any part of the Service with or without notice. Neither Clipsan nor its Partners are under any obligation to preserve, provide access to or return to you any User Content. You agree that Clipsan shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. We reserve the right to refuse Service to anyone or to terminate a user's account for any reason at any time.

Payment, upgrading, downgrading and cancellation terms

• A valid credit card is required for paying accounts.
• The monthly fee for the Service (excluding overage charges) is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.
• Overages are charged for a 30-day billing period after that period has passed. You are responsible for paying any overage fees incurred while your account is open.
• For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle.
• Downgrading your Service may cause the loss of Content, features, or capacity of your Account. Clipsan does not accept any liability for such loss.
• You are solely responsible for properly cancelling your account. You can cancel your account by mailing support@clipsan.com and explicitly requesting your account to be cancelled. You will receive confirmation from Clipsan support that your account has been cancelled and of the date on which it was cancelled.
• All of your Content will be immediately deleted from the Service upon cancellation. This information can not be recovered once your account is cancelled.
• If you cancel during a billing cycle you will be responsible for the monthly fee incurred for the current billing period as well as any past unpaid monthly fees. You will be responsible for any overage fees incurred in the current billing period as well as any past unpaid overage fees. In such cases, while we understand your wish to cancel your account, you must pay for the part of the service you have used until the cancellation.

Clipsan reserves the right to terminate your account if you do not comply with the terms and conditions.
